Unless otherwise specified, course access is provided for the duration indicated at the time of enrollment. We reserve the right to modify access periods with reasonable notice.

4.3 Prerequisites

Some courses may have prerequisites or recommended prior knowledge. You are responsible for ensuring you meet these requirements before enrolling.

5. Payment Terms

5.1 Pricing

Course prices are listed in U.S. Dollars and are subject to change without notice. The price charged will be the price displayed at the time of purchase. All fees are non-refundable except as expressly provided in our Refund Policy.

5.2 Payment Processing

Payments are processed through secure third-party payment processors. You agree to provide accurate payment information and authorize us to charge your payment method for all fees incurred. You are responsible for all applicable taxes.

5.3 Failed Payments

If a payment fails, we may suspend your access to paid content until payment is successfully processed. Repeated payment failures may result in account termination.

5.4 Promotional Offers

Promotional codes and discounts are subject to specific terms and conditions, have limited validity, and cannot be combined unless explicitly stated. We reserve the right to modify or cancel promotions at any time.

• Share your account credentials or course access with others

• Verify your participation and completion of specific NeuralHub courses
• Do not represent academic credit or formal degrees
• May not be recognized by employers or educational institutions
• Remain the property of NeuralHub and may be revoked for violations of these Terms
• Cannot be transferred or sold to others

Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by NeuralHub. We are not responsible for the content, privacy policies, or practices of any third-party services. You access third-party services at your own risk and should review their terms and policies.

10. Disclaimers and Limitations of Liability

10.1 Service Availability

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not guarantee that our Services will be uninterrupted, secure, or error-free.

10.2 Educational Content

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURALHUB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.4 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO NEURALHUB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless NeuralHub and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of our Services
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you submit, post, or transmit through our Services

12. Modifications to Services and Terms

12.1 Service Changes

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of our Services.

12.2 Terms Updates

We may revise these Terms from time to time. Material changes will be notified through our website or via email. Your continued use of our Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our Services.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Dakota, United States, without regard to its conflict of law principles.

13.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in North Dakota. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Termination

Either party may terminate this agreement at any time. You may terminate by closing your account and discontinuing use of our Services. We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to access and use our Services will immediately cease
• You will no longer have access to any course content or materials
• Provisions of these Terms that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and NeuralHub regarding your use of our Services and supersede all prior agreements and understandings.

17. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this provision is void.

18. No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of NeuralHub.

BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
